Commercial Attorney (remote) US or Canada

The opportunity:

Tasktop is seeking a commercial attorney with strong experience in enterprise software and cloud transactions. You are someone who has a passion for working on sophisticated technology contracts and thrives in a fast paced environment. You will work closely with Tasktop’s attorneys and business teams to provide advice on a broad range of legal matters and will be responsible for the drafting, reviewing, negotiation and advising on a variety of commercial agreements with an emphasis on software licensing, SaaS and strategic agreements with large enterprises.

You will also provide commercial legal support to Tasktop’s rapidly growing Operations team and support Tasktop Legal’s initiatives to continuously improve the delivery of commercial services, drive efficiency and enhance risk management.This is a great opportunity to help scale the existing commercial legal team in a mission-driven company and offers exposure to a wide variety of issues. 

 

Responsibilities:

  • Draft,review, and negotiate a variety of commercial agreements to support customer sales and partner transactions and our purchase of software and services from vendors.
  • Primary focus will be on software license and Saas subscription agreements, professional services agreements, data processing agreements and NDAs. 
  • Bring business-oriented, pragmatic mindset to solving problems while delivering legal advice without the legalese.
  • Work side-by-side with the legal and business teams to help internal stakeholders meet company goals
  • Support the Legal team’s continuous improvement efforts through development and refinement of playbooks, policies, templates, and processes.

 

You have:

  • 5+ years of relevant commercial legal experience working on a wide variety of agreements and technology transactions with required experience working on cloud based transactions selling to large enterprise companies (either at a law firm, in-house or both)
  • Strong and effective document drafting skills
  • Comfort and experience negotiating with customer procurement teams with ability to focus on important issues and efficiently move deals toward close.  
  • Highly motivated and experienced lawyer with excellent leadership, interpersonal, communication, organizational, project management and decision-making skills.
  • Experience working with rapidly growing technology companies and an ability to thrive working in an agile and fast paced environment.
  • Collaborative and solutions-oriented mindset with a passion for closing deals while protecting our values and business interests
  • A sense of humor and the ability to work well with a global commercial team 
  • JD from a US law school and member of the bar in US jurisdiction


Preferred qualifications: 


  • In house experience at a technology company with SaaS experience
  • Experience with navigating data privacy issues in a commercial context
  • Exposure to commercial contracting issues in both regulated industries and multinational enterprises


Commitment and Location

We are seeking an experienced commercial attorney who is serious and committed to this job yet desires to work part-time hours. Minimum time commitment is 20 hours a week with some dedicated time available each weekday. This is a remote position working from your home either in the US or Canada.
